The terms “user,” “users,” “you,” and “your” refer to website visitors and customers, whether personal or business entities, and include, but are not limited to, business entities’ agents, representatives, contractors, affiliates, and employees. 
These Terms of Service (“Terms”) apply to all site users, customers, and other visitors of our website. By using our website and/or Services, you hereby agree to have read and acknowledged this Terms of Service and the Privacy Policy set forth herein (collectively referred to as “Agreement”), without modification. 
The Privacy Policy (“Privacy Policy”) contained herein outlines how we may collect, use, and share information about you when using our website, together with products and services we offer from time to time on our website and social media pages, including, but not limited to, Instagram, Kajabi, YouTube, Facebook, Convertkit, Libsyn, DPDcart, Gumroad, Acuity scheduling, Inc., and Pinterest (collectively referred to as “Services”). This Policy describes both our and your legal rights and responsibilities with regards to information contained on and collected by our website, including information that identifies you, such as your name, location, contact information, e-mail address, search tendencies, and how you use our website (collectively referred to as “Personal Information”). We take seriously our responsibility to protect your personal information and privacy. 
Section 2. TERM
This Agreement shall be effective immediately upon visiting, using or interacting with (collectively referred to as “using” or “visiting”) our website. By using our website, the user accepts to be bound by the terms included herein and shall remain effective so long as the user avails itself of the website’s Services.
We may change or amend this Agreementat any time. Any changes to this Agreement will be posted on our website and will be effective when published unless otherwise stated. If you use our website or Services after the effective date of any changes, then you agree to comply with the changes and the entire Agreement. 
Section 3. APPLICABILITY
To use or access our website and Services, you must be eighteen years or older than the age of majority, and must have the ability to enter into this Agreement.
Section 4. USE FOR LAWFUL PURPOSES ONLY
All users and visitors must use this website and its Services for lawful purposes only. You hereby agree to use our website, content, products, and other Services for legitimate and non-commercial purposes only. You shall not transmit any material through our website which violates or infringes the rights of us or others, or material that is threatening, abusive, defamatory, profane, obscene, invasive, or which encourages criminal or illegal conduct or that would give rise to civil liability or otherwise violate any law.

A. Educational and Informational Purposes Only
All of the information provided on our website and contained in our products, whether for purchase or not, is for educational and informational purposes only. Nothing on our website claims to guarantee accurate, complete, reliable or up-to-date information.
B. Warranties & Guarantees
We strive to provide the most accurate information possible. However, we cannot ensure that our content is completely free from error or that it is timeless. As such, we do not give any warranty or other assurance as to the accuracy, completeness, timeliness, lack of errors, or fitness for particular purposes of any of the content or materials contained within and placed on our website, products, or other publications. To the maximum extent of the law, we provide our website and Services “as is” without any warranties, representations, or guarantees, whether express, implied, or otherwise. 
C. Earnings & Results
We make no guarantee of any kind regarding the potential income or results that can be generated through the use of our Services, products or website. From time to time, we may publish testimonials from clients - however, please keep in mind that past results are not an indication or promise of your results. 
D. Affiliate Programs
We reserve the right to link to products or services for which we earn a commission, affiliate fee, or referral fee (all of which are interchangeable and mean the same thing for purposes of this Agreement). We will take reasonable measures to ensure that all affiliate links are labeled and disclaimed conspicuously.
E. Limitation of Liability
To the fullest extent permitted by applicable laws, we disclaim liability for any injuries, losses, or damages of whatever nature arising from the following, either directly, indirectly or consequentially: loss of use, loss of data, damage by Virus, loss or damage to property, claims of third-parties.
Section 6. SECURITY & INDEMNIFICATION
In order to maintain the security of your Personal Information, we have taken reasonable methods to prevent unauthorized access and maintain accuracy of all Personal Information collected by our website. Physical and technical methods of protection include limited numbers of internal personnel accessing your Personal Information, and password protecting documents or logs that contain Personal Information. 
Transmission of information over the internet is not fully secure. As such, we cannot guarantee that any information you submit to us will be accessible to only us as the intended recipients. Any transmission is at your own risk. However, we do our best to protect your data and any information you provide. Nevertheless, if there is a security breach on behalf of an unauthorized party, you agree to indemnify us and hold us harmless for any and all claims against the unauthorized party.
We strive to prevent the introduction of malware, malicious code, and viruses to our website and our users (collectively referred to as “viruses”). However, due to the inherent nature of the internet, we are unable to guarantee or warrant that our websites, products, content or other Services are completely free from viruses. As such, we will not be liable for any damages or harm that is attributable to viruses that may arise after use of our website or Services. It is your responsibility to take reasonable measures to prevent the intrusion of viruses onto your hardware and software, and taking appropriate steps to ensure your computer and web browser are not exposed to the risk of interference or damage from viruses. 
Your use of our website, products and Services is completely voluntary. As such, you shall indemnify us and hold us and our agents and affiliates harmless for any damages or injury that may arise from your use of our website, products and Services, which include, but are not limited to, issues regarding the confidentiality and security of your Personal Information. 
Section 7. ACCEPTANCE & SCOPE OF PRIVACY POLICY
This Privacy Policy is part of our Terms of Services, which address your access, exchange of information, and use of our Services. The Privacy Policy (outlined in this Section and Sections 1-4, 6-11, 13, 16 and 17), is incorporated herein. By using our website and Services, you hereby agree to all of the terms set forth in our Terms of Service and Privacy Policy. If you do not agree with our Terms of Service or Privacy Policy, then please do not use our website or Services.
This Privacy Policy applies to your Personal Information that is collected by us on our website through when you elect to use our Services. For more information about how we collect and use your information, see Sections 8 and 9 below.
This Privacy Policy does not cover the collection and/or use of your personal information by third-party programs or websites, such as search engines (i.e. Google), commerce platforms and plugins (i.e. WooCommerce, Square, Stripe, PayPal, Shopify, Venmo, and Zelle), website hosts (i.e Squarespace, Google, and Kajabi), e-mail marketing programs, video or messenger applications (i.e. Zoom, Slack, or Voxer), teaching or webinar platforms (i.e. Kajabi, Gumroad), or social media platforms. The collection and use of data and information by third-party platforms and programs, such as those described above, are governed by each third-party’s respective privacy policy. However, you should not assume that third-parties have a privacy policy that is equivalent or similar to ours. As such, we are not liable or responsible under any circumstances for the collection and use of your personal information by third-parties or the third-parties’ compliance with their respective privacy policies.
By accepting our Privacy Policy, you hereby acknowledge that you are above the age of consent and majority in your jurisdiction. Minors should not use this platform and, as such, we do not knowingly or intentionally collect, share, or use Personal Information from minors.

A. “Personal Information” that is subject to these Terms and Privacy policy include, but are not limited to:
Information in exchange for products or services - From time to time, we ask for personal information, such as names, e-mail addresses, phone numbers, credit card numbers, account information and/or billing addresses in an exchange for our product, content, or Services. 
Analytics - This website collects data, such as visitor location and times, in order to help us analyze user data and better serve our users. From time to time, our website may collect data such as cookies, pixel tags, clickstreams, and other modern technology to collect information such as browser type, web pages viewed, links clicked, and other actions you may take either on our website or via social media accounts and e-mails associated with us. This information may be used from time to time to help us personalize your experience or for security purposes. Cookies are pieces of data from a web server to your web browser and saved on your hard drive. Cookies do not contain personally identifiable information, such as your name or contact information. Log Files - Modern websites often collect user data in the form of log files. This is a modern way to log when and from where a user enters our website. This data may include information such as internet protocol (IP) addresses, browsers, date and time stamps, referral links through which you entered our website, demographic information, and the number of clicks a user makes on our site. This information is separate from Personal Information described above, and does not include information that is personal to you on an individual level. This information is used to track general traffic flow and usage of our website, in addition to other trends and statistics such as the number of visitors to a certain page on our website.
Transaction Information - When you download or purchase a product from our website, certain information may be collected, such as the date of the purchase and product details. This information is collected and used for internal purposes only, in order to enhance the general user experience. If you purchase one of our products, certain data is required to fulfill your request, such as credit card numbers/expirations/security codes, billing information and addresses, zip codes, and names, which will be processed through a third-party payment program. This information will not be shared intentionally with any party other than the third-party programs responsible for processing your payment and procuring payment to us. 
Third-Party Information - From time to time, we may receive information from third-party programs or plugins, such as PayPal, Stripe, Square, Kajabi, Google, WordPress, or through social media platforms. 
B. Information may be collected in one or more of the following ways:
Provided by you, the user - Our website may ask you to input Personal Information from time to time. For instance, we request your e-mail address and name to send you a protected piece of content or may ask for your e-mail address when you have a question relating to customer service or consultations. 
Collected from internet browsers or devices - From time to time, data is collected and sent to us automatically by your web browser or device. Information collected in this category tends to include your IP address, links clicked, pages visited, and time stamps of visits. This information tends not to be personally identifiable.
Cookies, pixels, web beacons, widgets, and other modern technologies - This site uses cookies to collect information to monitor and aggregate web traffic to our site. This site may also use web beacons, pixels, and social media widgets to help us understand browsing activity and traffic patterns. This information helps us improve our website, Services, and the user’s online experience. For example, social media widgets may be placed on our website by third-party social media platforms to allow you to interact with our social media accounts. These modern technologies may also collect browsing data, although the collection and use of data amongst these third-parties is subject to their control and respective privacy policies. A. By using our website, you hereby agree that any and all information collected in Section 8 hereto may be used for the following purposes:
To provide content, products, and other Services to you;
To process and fulfill any purchases or orders, which may include sending e-mails to you;
To communicate with you, such as via e-mail, including promotional e-mails, newsletters, and product attachments;
To provide customer service and manage individual accounts;
To provide a you with a personalized online experience;
To grant you access to certain content and services online;
To educate us on our user’s tendencies and preferences;
To fulfill a contract we have with you;
To optimize our website and our users’ experience;
To prevent, mitigate, and investigate security breaches;

B. The Personal Information collected and used may be shared with certain third-parties. Personal Information may be shared in the following ways:
Service providers - Personal Information may be shared with third-party programs, platforms, and providers in exchange for data, analytics, reports, or confidentiality agreements. Third-party providers include, but are not limited to, the following: website hosts, e-commerce platforms, payment providers and payment processors, website plugins, e-mail servicing programs, marketing consultants, and brand advisors. These third-party providers shall only collect, use, maintain and share your information to the extent that doing so furthers the services they provide to us. Any use beyond that scope shall be deemed an unauthorized use, of which you hereby agree to indemnify us.
Social sharing - Personal Information may be shared by you if you elect to post content on our website, social media pages, or accounts. Your Personal Information may also be disclosed when you elect to connect your social media accounts to your accounts on our website or e-commerce page, which is then subject to the privacy policy of the respective social media platform. 
Asset Sale or Transfer - Personal Information may also be shared in the event of a merger, acquisition, asset sale, or other transfer of our business and assets. 
Legal and/or Regulatory Disclosures - Personal Information may also be shared if necessary to further a legal, regulatory, audit, or professional investigation. 
C. The Personal Information that is collected will be stored in a commercially reasonable manner for as long as is necessary to protect our legitimate business interests, and to comply with applicable law. We reserve the right to collect and store your Personal Information to the extent that it is not prohibited by law.
D. We do not sell or license your Personal Information to third-parties for their own marketing or commercial purposes without your consent.

A. Cookies & Behavioral Based Advertising - We may work with third-parties, such as Google and Facebook, for marketing, advertising and other legitimate business purposes. For information as to how you can opt-out of some of these advertising services, be sure to change your internet browser’s settings to block cookies or ask permission before collecting cookies. 
B. E-mail Marketing - We may, from time to time, require your e-mail address and other Personal Information to use our Services. If you do not want us to contact you via e-mail for promotional purposes, account management, updates, or product information, then you can elect not to share your e-mail address with us (although it may nevertheless be necessary to utilize a certain Service). At any time, you may manage your e-mail subscription preferences by contacting us at hi@beatricekamau.com at the link on the bottom of each e-mail sent by us.

D. European Union - Residents of the European Union may have the following rights with respect to the collection and use of their Personal Information: i) right to review, verify, correct, and request erasure of your Personal Information that we collect and store; ii) limit, restrict, or object to the use of your Personal Information under certain circumstances; iii) the right to request the transfer of your Personal Information to another party under certain circumstances. E. California - Residents of California who are users of our site may request certain information regarding the disclosure of their Personal Information to third-parties for marketing purposes. However, we may not respond to Do Not Track settings. Section 11. GOVERNING LAW & VENUE
Beatrice Kamau and Bee Wellness, LLC is located in the United States and is subject to the applicable laws governing the State of California. The governing law for this agreement is the law of the State of California.
Section 12. INTELLECTUAL PROPERTY & STOCK PHOTOGRAPHY
A. Stock Photography - This website may use free stock photography as part of its design. All stock images used have an irrevocable, non-exclusive copyright license to download, copy, distribute, use and modify the photos for free, including for commercial purposes. Use of said stock photography is permissible under applicable laws without permission from the photographer or attributing the work to the photographer. 
B. Intellectual Property - This website, content and products contain intellectual property owned by us. and by third-parties that license some intellectual property to us. This Agreement is intellectual property owned by us. Other examples of intellectual property found on our website and within our products and Services include, but are not limited to: trademarks, service marks, layout, logos, business name, design, text, written copy, certain images, podcast recordings, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). You shall not copy, publish, transmit, transfer, sell, create derivative works from, reproduce, or in any way exploit any of the Intellectual Property owned by us and the third-parties described within this Section in either whole or part without prior written consent. 
Section 13. MISCELLANEOUS
A. Amendments - We reserve the right to amend this Agreement from time to time. You are bound by any changes made after the publication of the changes on our website. We will take reasonable efforts to notify you of any changes that are made.
B. Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
C. Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
D. All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
Section 14. SPECIFIC PRODUCT TERMS OF USE
Woman of Desire Group Program TERMS OF SERVICE
Thank you for purchasing Woman of Desire Group Program (“Product”). All sales are final for this course. By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the product for which these terms appear ("Product," “Course,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") in her capacity as owner of Bee Wellness, LLC (“Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION
Bee Wellness LLC (“Company”) is a company that provides is a company that provides self love and mindset coaching services and digital products for the purpose of education. Company has created the Woman of Desire ("Product") to educate Customer on how to embody worthiness in dating. The Product is an 16-week program including a private Facebook group and live teaching and live Question and Answer/group coaching sessions held via Zoom
  TERM & TERMINATION
Term - This Term of this Agreement shall be sixteen (16) weeks, from February 1, 2022 (“Start Date”) to May 25, 2022 (“End Date”). with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, personal coach, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding dating and worthiness, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer how to cultivate authentic confidence Through the Product, the Company might provide guidance regarding overcoming self-doubt, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that self-love and mindset coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Product does not include: 1) individualized advice and feedback outside of coaching calls and facebook group 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships 8) One on one coaching (unless client pays in full. Client then receives one (1), 45 minute one on one coaching session.)
Customer hereby acknowledges that Customer is solely responsible for the results that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with a loving relationship with the self. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes eight live teaching calls, 8 group coaching/question and answer calls via zoom to help integrate what is learned in live teaching calls and to provide further guidance, a private facebook group specifically for those who have purchased the Product and/or other resources as Company sees fit. Note, if client pays in full pays for Product in full at checkout, Client then receives one (1), 45 minute one on one coaching session.The Company also agrees to provide additional feedback in the form of a private Facebook Group created exclusively for the Product Clients. 
If client decides to upgrade to VIP at checkout (include purchase 4, one on one 45 minute coaching calls) client understands:
All 4 coaching calls must be used within the duration of the 16 week program that is between Feb 1 2022- May 25, 2022 and client may redeem a maximum of 1 call per month. 
Each 45 minute call will be held via zoom and that it is the sole responsibility of the client to schedule each call through the OWNER’s scheduling platform, Acuity scheduling inc. OWNER will not send client reminders to book calls, this is the sole responsibility of the client.
If client is more than 10 minutes late to the scheduled one on one session, client has forfeited the call. If client would like to reschedule a call, 24 hours notice MUST be given via email.
VIP upgrade option only includes 4, 45 minute one on one coaching calls and does NOT include voxer access, text access, or any other one on one communication outside of the purchased calls.
 Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”), Facebook, and Zoom. Company is not liable for any limitation of access to the Product caused by Kajabi, Facebook, or Zoom. 
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply using the Product.
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Completion of all Product material, including attending teaching and group coaching calls and participating in meditations and journal prompts given during select calls;
Thoughtful and meaningful participation in all Question & Answer/Group coaching call sessions;
Utilization of the Product’s private Facebook Group;
Attending each Q&A coaching call and teaching call at the scheduled date, on time;
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must within time frame of payment plan client selects at checkout, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY

“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s use of this Product, including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Product. 
Access to this Product is currently through a third-party platform, Facebook, Kajabi and Zoom. Company is not liable for any limitation of access to the Product caused by Facebook, Kajabi or Zoom.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
      Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California.
            Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
    Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
 Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms "I have read and agree to the terms and conditions of this page as follows:” at the Product checkout page and by rendering first payment.

Thank you for purchasing SELF LOVE OVER CODEPENDENCY (Self-study) (“Product”). All sales are final for this course. By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the product for which these terms appear ("Product," “Course,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") in her capacity as owner of Bee Wellness, LLC (“Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION 
 Bee Wellness LLC (“Company”) is a company that provides is a company that provides self love and mindset coaching services and digital products for the purpose of education. Company has created the Self Love Over Codependency (Live) ("Product") to educate Customer on how to work through childhood & relationship trauma and step into self-love. The Product is an 8-module self-study program including pre-recorded videos and one (1) bonus live, 60 minute group Question and Answer session held via Zoom.
  TERM & TERMINATION
Term - This Term of this Agreement shall be ten (10) weeks, from September 23, 2021 (“Start Date”) to December 1, 2021 (“End Date”). with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, personal coach, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding self-love, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer how to cultivate authentic self-confidence Through the Product, the Company might provide guidance regarding overcoming self-doubt, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that self-love and mindset coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Product does not include: 1) individualized advice and feedback 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships 8) One on one coaching 
Customer hereby acknowledges that Customer is solely responsible for the results that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with a loving relationship with the self. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes eight modules, which include pre-recorded videos, meditations, workbooks, and/or other resources. The Product also (1) bonus live, 60 minute group Question and Answer call held via zoom to assist the Product customers as a group to better understand the techniques and strategies discussed in the modules. The Company also agrees to provide additional feedback in the form of a private Facebook Group created exclusively for the Product Clients. 
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”) and Zoom. Company is not liable for any limitation of access to the Product caused by Kajabi or Zoom. 
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply using the Product.
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Completion of all Product material, including meditations and worksheets;
Thoughtful and meaningful participation in the Question & Answer session
Attending the live Q&A coaching call at the scheduled date, on time;
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid before the Program end date, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.

Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s use of this Product, including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Product. 
Access to this Product is currently through a third-party platform, Kajabi and Zoom. Company is not liable for any limitation of access to the Product caused by Kajabi or Zoom.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
      Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California.
            Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
    Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
H. Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms "I have read and agree to the terms and conditions of this page as follows:” at the Product checkout page and by rendering first payment.

By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the product for which these terms appear ("Product," “Course,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") n her capacity as owner of Bee Wellness, LLC “Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION
Bee Wellness LLC (“Company”) is a company that provides is a company that provides self love and mindset coaching services and digital products for the purpose of education. Company has created the OWNING YOUR MAGNETISM RISING SIGN ASTROLOGY MASTERCLASS ("Product") to educate Customer on how to own their magnetism according to their astrology. The Product is a 90 minute, one time live zoom call event taking place November 18, 2021 at 5 PM PST with Beatrice Kamau.
   TERM & TERMINATION
Term - This Term of this Agreement shall be one year from the date of initial purchase, with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding astrology but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer new skills and providing Customer with awareness of limiting beliefs around their desires Through the Product, the Company might provide guidance regarding magnetism and astrology, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that mindset coaching is a subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Product does not include: 1) individualized advice and feedback; 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships.  8) one on one coaching 9) a community/group forum or membership
Customer hereby acknowledges that Customer is solely responsible for the amount and type of income that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with the ability to fully trust and believe in the validity of their narcissistic abuse experience. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes a 60 minute, one time live zoom call event taking place November 18, 2021 at 5 PM PST hosted by Beatrice Kamau. This zoom call event will include a live teaching with Beatrice, and a Question and Answer session with Beatrice within the 90 minute time frame.
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”) and Zoom. Company is not liable for any limitation of access to the Product caused by Kajabi and Zoom.
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply completing the Program
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Thoughtful and meaningful participation in all Question & Answer session
Attending the live call at the scheduled date, on time; 
Taking 100% responsibility for Customer’s results, 100% of the time.
Looking up exact birth time and personal rising sign prior to live masterclass as indicated in after purchase email.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid at checkout, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this course. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Product. As such, Customer agrees and acknowledges all Confidential Information shared through this Product and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.

If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s participation in this Program including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Product. 
Access to this Product is currently through third-party platforms, Zoom and Kajabi Company is not liable for any limitation of access to the Product caused by Kajabi and Zoom.
MISCELLANEOUS
           Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
             Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
             Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
 All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
       Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California. 
             Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
     Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
 Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms “"I have read and agree to the terms and conditions of this page."”at the Product checkout page and by rendering first payment

Thank you for purchasing THE SELF LOVE FIX COLLECTIVE MEMBERSHIP (“Product”). All sales are final for this membership. By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the product for which these terms appear ("Product," “Membership,” and/or “Product”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") in her capacity as owner of Bee Wellness, LLC “Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION
Bee Wellness LLC (“Company”) is a company that provides is a company that provides self love and mindset coaching services and digital products for the purpose of education. Company has created the THE SELF LOVE FIX COLLECTIVE MEMBERSHIP ("Product") to educate Customer boundaries and worthiness. The Product is a 12-week membership including 1 30-60 minute live teaching within the facebook group per month, a private Facebook group, and 1 live 60 minute group zoom Q&A call per month.
  TERM & TERMINATION
Term - This Term of this Agreement shall be twelve (12) weeks, from August 16, 2021 (“Start Date”) to November 8 2021 (“End Date”) with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding boundaries and mindset, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
 Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer new skills and providing Customer with new ways to embody and set boundaries. Through the Product, the Company might provide guidance regarding mindset and self-love, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that self-love and mindset coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
 This Product does not include: 1) individualized advice and feedback in the form of email support, one-on-one calls, message support etc.; 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships 8.) Unlimited feedback 9) Any form of one-on-one coaching.  10) Any one-on-one feedback/coaching/guidance within the facebook group posts. Guidance/coaching/feedback is strictly reserved for the monthly live Q&A group zoom call and/or the monthly teaching lives in the facebook group.
Customer hereby acknowledges that Customer is solely responsible for the results and ability to set boundaries that Customer generates by implementing techniques and advice provided by Membership. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Membership will provide Customer with the ability to set boundaries. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes:
-One live monthly Question & Answer 60 minute group call held via zoom to assist the Product customers as a group to better understand the techniques, mindset, and strategies discussed in the monthly teaching live held in Facebook.
-One 30-60 minute teaching live held in Facebook each month on the topics of boundaries, embodiment, and worthiness as the Owner sees fit for the group.
- A private Facebook group for the membership students to receive support, encouragement, and validation from community members.
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Facebook and Zoom. Company is not liable for any limitation of access to the Product caused by Facebook and Zoom.
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply completing the Program.
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Thoughtful and meaningful participation in all Question & Answer sessions;
Utilization of the Product’s private Facebook Group;
Attending each Facebook teaching live at the scheduled date, on time and/or watching the replay;
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid before the Program end date, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this membership. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Product. As such, Customer agrees and acknowledges all Confidential Information shared through this Product and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:

INTRODUCTION
Bee Wellness, LLC (“Company”) is a company that provides online courses and other educational materials for individuals looking to develop & cultivate self-love after experiencing trauma & codependency.  Company has created the Embodied, 4 month Group Coaching Program ("Program") to educate Customer on how to embody their voice, their unique personality, their ability to receive/their feminine energy, and their boundaries. The Program is a 4-month program including pre-recorded videos and audio affirmations found in Customer’s Kajabi portal, 2, 45 minute and one 30 minute 1:1 coaching calls with Beatrice, a private Facebook group for Embodied members only, access to the No More Codependent Thought Patterns Masterclass, and monthly zoom calls (up to 2 hours in length & a variation of guest expert calls OR shadow exploration/shame releasing calls, live training/teaching with Beatrice, & Live Q&A sessions).
  TERM & TERMINATION
Term - This Term of this Agreement shall be 17 weeks, from June 24, 2021 (“Start Date”) to October 21, 2021 (“End Date”).
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. DISCLAIMERS

Through the Program, the Company might provide guidance regarding business decisions, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Program, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Program is at user’s own risk.
Client hereby acknowledges that mindset and self-love coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Program does not include: 1) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 2) publicity, public relations and/or social media marketing services; 3) legal or financial advice; 4) introduction to Company’s professional network and business relationships 5.) unlimited feedback.  
 
Customer hereby acknowledges that Customer is solely responsible for the results that Customer generates by implementing techniques and advice provided by Program. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Program will provide Customer with immediate transformation in the areas of boundaries, self-love, and/or tuning into his/her intuition or voice. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
 
PROGRAM SPECIFICS 
The Program includes:
 3 zoom calls per month (up to 2 hours in length) June 2021- September 2021 (1 live teaching/training call, 1 Q&A call, & 1 shadow exploration/shame releasing call OR guest expert call 
Access to an immersive, private facebook group for ONLY the members of Embodied to find community, accountability, and support in between calls
2, 45 minute and 1 30 minute one on one zoom calls with Beatrice (Customer can redeem calls during the 4 month group coaching program duration) 
Vault of meditations & video recordings to help Customer embody self-love & your personal truth after trauma 
Access to The No More Codependent Thought Patterns Masterclass
Company reserves the right to substitute services equal to or comparable to the value of Program if reasonably required by the prevailing circumstances as determined exclusively by Company.

If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY 
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s participation in this Program including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Program. 
Access to this Program is currently through third-party platforms Kajabi and Zoom. Company is not liable for any limitation of access to the Program caused by Kajabi and Zoom.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
      Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California. 
            Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
        Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
         Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms “I have read and agree to the terms and conditions of this page as follows” at the Program checkout page and by rendering first payment.

Company has created the Date with Desire ("Product") to educate Customer on how to step into believing you are worthy of your desires The Product is a 60 minute, one time live zoom call event taking place June 6, 2021 at 6 PM PST with Beatrice Kamau.
  TERM & TERMINATION
Term - This Term of this Agreement shall be one year from the date of initial purchase, with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding mindset but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer new skills and providing Customer with awareness of limiting beliefs around their desires Through the Product, the Company might provide guidance regarding mindset and manifestation, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that mindset coaching is a subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Product does not include: 1) individualized advice and feedback; 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships.  8) one on one coaching 9) a community/group forum or membership
Customer hereby acknowledges that Customer is solely responsible for the amount and type of income that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with everything they desire.. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes a 60 minute, one time live zoom call event taking place June 6, 2021 at 6 PM PST hosted by Beatrice Kamau. This zoom call event will include a live meditation,a live conversation with Beatrice, and a Question and Answer session with Beatrice within the 60 minute time frame.
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”) and Zoom. Company is not liable for any limitation of access to the Product caused by Kajabi and Zoom.
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply completing the Program
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Thoughtful and meaningful participation in all Question & Answer session
Attending the live call at the scheduled date, on time; 
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid at checkout, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this course. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Product. As such, Customer agrees and acknowledges all Confidential Information shared through this Product and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise.

Term - This Term of this Agreement shall be eight (8) weeks, from April 28, 2021 (“Start Date”) to June 23, 2021 (“End Date”). with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.

The Product includes eight modules, which include pre-recorded videos, meditations, workbooks, and/or other resources. The Product also (1) bonus live Question and Answer call held via zoom to assist the Product customers as a group to better understand the techniques and strategies discussed in the modules. The Company also agrees to provide additional feedback in the form of a private Facebook Group created exclusively for the Product Clients. 
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company.

If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
      Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California.
            Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
    Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
H. Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms "I have read and agree to the terms and conditions of this page as follows:” at the Product checkout page and by rendering first payment.

Thank you for purchasing Embodied, 4 month Group Coaching Program (“Program”). All sales are final for this Program. By clicking “Buy Now,” “Complete my purchase,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the program for which these terms appear ("Product," “Course,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") in her capacity as owner of Bee Wellness, LLC (“Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION
Bee Wellness, LLC (“Company”) is a company that provides online courses and other educational materials for individuals looking to develop & cultivate self-love after experiencing trauma & codependency.  Company has created the Embodied, 4 month Group Coaching Program ("Program") to educate Customer on how to embody their voice, their unique personality, their ability to receive/their feminine energy, and their boundaries. The Program is a 4-month program including pre-recorded videos and audio affirmations found in Customer’s Kajabi portal, 2, 30 minute 1:1 coaching calls with Beatrice, a private Facebook group for Embodied members only, access to the Codependent’s Holiday Guide to Toxic Family Members Masterclass, and monthly zoom calls (variation of guest expert calls OR shadow exploration/shame releasing calls, live training/teaching with Beatrice, & Live Q&A sessions).
  TERM & TERMINATION
Term - This Term of this Agreement shall be 16 weeks, from January 13, 2021 (“Start Date”) to April 30, 2021 (“End Date”).
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer’s business. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding self-love, intuition, and boundaries, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
 
 Client understands that the Program has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer new skills and providing Customer with knowledge and actionable tools regarding insight to his or her own intuition, boundaries, ability to love his/her self, and ability to receive. Through the Program, the Company might provide guidance regarding business decisions, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Program, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Program is at user’s own risk.
Client hereby acknowledges that mindset and self-love coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Program does not include: 1) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 2) publicity, public relations and/or social media marketing services; 3) legal or financial advice; 4) introduction to Company’s professional network and business relationships 5.) unlimited feedback.  
 
Customer hereby acknowledges that Customer is solely responsible for the results that Customer generates by implementing techniques and advice provided by Program. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Program will provide Customer with immediate transformation in the areas of boundaries, self-love, and/or tuning into his/her intuition or voice. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
 
PROGRAM SPECIFICS 
The Program includes:
 3, 60-90 minute zoom calls per month January 2021- April 2021 (1 live teaching/training call, 1 Q&A call, & 1 shadow exploration/shame releasing call OR guest expert call 
Access to an immersive, private facebook group for ONLY the members of Embodied to find community, accountability, and support in between calls
2, 30 minute one on one zoom calls with Beatrice (Customer can redeem calls during the 4 month group coaching program duration) 
Vault of meditations & video recordings to help Customer embody self-love & your personal truth after trauma 
Access to The Codependent’s Holiday Guide to Toxic Family Members Masterclass
Company reserves the right to substitute services equal to or comparable to the value of Program if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Program may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Program if reasonably required by the prevailing circumstances as determined by Company. Access to this Program is currently through a third-party platform, Kajabi, LLC. (“Kajabi”) and Zoom. Company is not liable for any limitation of access to the Program caused by Kajabi and Zoom. 
CLIENT’S RESPONSIBILITIES
The Program has been developed for educational purposes only. The Company has established its proprietary Program in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Program. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Program. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply completing the Program
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Program by adhering to the following: 
Attendance of live calls on Zoom (or viewing recordings of recorded lives held in Kajabi); 
Thoughtful and meaningful participation in all Question & Answer sessions;
Utilization of the Program’s private Facebook Group;
Attending each coaching call and guest expert call at the scheduled date, on time;
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Program, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid before the Program end date, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Program. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this course. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Program. As such, Customer agrees and acknowledges all Confidential Information shared through this Program and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Program or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Program, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Program and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Program is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY 
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s participation in this Program including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Program. 
Access to this Program is currently through third-party platforms Kajabi and Zoom. Company is not liable for any limitation of access to the Program caused by Kajabi and Zoom.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect.   TERM & TERMINATION
Term - This Term of this Agreement shall be eight (8) weeks, from April 28, 2021 (“Start Date”) to June 23, 2021 (“End Date”). with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, personal coach, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding self-love, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer how to cultivate authentic self-love Through the Product, the Company might provide guidance regarding self-love, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.

Customer hereby acknowledges that Customer is solely responsible for the results that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with a loving relationship with the self. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes eight modules, which include pre-recorded videos, meditations, workbooks, and/or other resources. The Product also includes four live Question & Answer group calls held via Zoom (and a bonus live Question and Answer call held via Zoom) to assist the Product customers as a group to better understand the techniques and strategies discussed in the modules. The Company also agrees to provide additional feedback in the form of a private Facebook Group created exclusively for the Product Clients. 
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company.

    Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.

Thank you for purchasing Manifesting Money with Ease (“Product”). All sales are final for this course. INTRODUCTION
3- Bee Wellness, LLC (“Company”) is a company that provides self love and mindset coaching services and digital products for the purpose of education. Company has created the Manifesting Money with Ease ("Product") to educate Customer on how to get aligned with the frequency and energy of money and abundance. The Product is a self-study program including pre-recorded videos, a meditation, and journal prompts.
  TERM & TERMINATION
4- Term - This Term of this Agreement shall be one year from the date of initial purchase, with the exception of Sections 6 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
5- The Company is not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer’s business. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding money mindset, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
6- Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer new skills and providing Customer with awareness of new ways of thinking about money and abundance. Through the Product, the Company might provide guidance regarding abundance and money mindset, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that mindset coaching is subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
7- This Product does not include: 1) individualized advice and feedback; 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships.  
Customer hereby acknowledges that Customer is solely responsible for the amount and type of income that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with financial abundance. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.

This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”). Company is not liable for any limitation of access to the Product caused by Kajabi. 
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply completing the Program
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Completion of all Product material, including meditation and worksheets;
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid before the Program end date, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this course. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Product. As such, Customer agrees and acknowledges all Confidential Information shared through this Product and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s use of this Product, including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Product. 
11- Access to this Product is currently through a third-party platform, Kajabi, LLC or “Kajabi”. Company is not liable for any limitation of access to the Product caused by Kajabi, LLC.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. Even if Client does not complete all portions of the Program, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Program at checkout and executing these Terms and Conditions.
DISCLAIMERS
The Company is not an not an employee, manager, lawyer, accountant, psychiatrist, psychologist, therapist, hypnotherapist, state licensed mental healthcare provider, accountant, public relations manager, social media manager, doctor, counselor, business operations manager, financial analyst, business executive, or other agent of Customer.. Customer understands that the Program is created to help Customer learn new skills and assist Customer with finding his/her own direction. The Program may offer guidance regarding self-love and mindset, but it is the responsibility of the Customer to make the final decision and choose the best option for his/herself.  
Client understands that the Product has been designed by Company for general educational and informational purposes only, with the goal of teaching Customer a new perspective on their emotional world using astrology. Through the Product, the Company might provide guidance regarding self-love, embodiment and mindset, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Product, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Program. Client agrees that use of this Product is at user’s own risk.
Client hereby acknowledges that self-love and embodiment coaching are subjective services and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Program services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Product does not include: 1) individualized advice and feedback; 2) procuring business or potential clients for Customer; 3) performing any business management services for Customer, such as accounting, operations, research, or development; 4) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy; 5) publicity, public relations and/or social media marketing services; 6) legal or financial advice; 7) introduction to Company’s professional network and business relationships. 8) One on One coaching 9) Question and Answer Sessions 
Customer hereby acknowledges that Customer is solely responsible for the results Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with a shift in their emotional/inner world. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
PROGRAM SPECIFICS
The Product includes pre-recorded videos, and affirmations and journal prompts for each moon sign. 
Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Product may be distributed by Company either directly or through a third-party platform. Company reserves the right to substitute services equal to or comparable to the value of Product if reasonably required by the prevailing circumstances as determined by Company. Access to this Product is currently through a third-party platform, Kajabi, LLC. (“Kajabi”). Company is not liable for any limitation of access to the Product caused by Kajabi. 
CLIENT’S RESPONSIBILITIES
The Product has been developed for educational purposes only. The Company has established its proprietary Product in order to educate and inspire Customer to pursue his/her personal goals. However, Customer hereby acknowledges that Company does not guarantee Customer’s goals, whatever the goals may be, will be reached by completing and implementing the advice and techniques in the Product. Customer accepts and agrees that Customer is 100% responsible for his/her results from the Product. Customer acknowledges that, as with any investment, there is an inherent risk associated. As such, Customer agrees there is no guarantee that Customer will attain his/her goals by simply using the Product.
Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Product by adhering to the following: 
Completion of all Product material, including journal prompts and videos that apply specifically to Customer’s astrology;
Reciting affirmations specific to Customer’s Moon Sign.
Taking 100% responsibility for Customer’s results, 100% of the time.
PAYMENT & FEES
(a) Upon execution of this Agreement, Client agrees to pay to the Company the full purchase amount for the Product, regardless of what payment option Client selects at checkout. 
(b) If Client selects a payment plan option, Client agrees to pay all fees pursuant to the payment schedule outlined at checkout and selected by Client. All payments must be paid at checkout, or else Company reserves the right to send Client to collections for any outstanding monies due and owed under this Agreement.
(c) Client authorizes Company to charge the credit card or account used at checkout to complete all payments pursuant to the payment plan Client selected at checkout, and Client does not require separate authorization for each payment. 
(d) If any payments fail, Client agrees to remedy the situation immediately (ie. update Client’s payment information, provide a new credit card, and/or make all past-due payments within 5 business days) or else Client forfeits his/her right to access the Product. 
(e) The Client shall not threaten or make any chargebacks to the Company’s account or cancel the credit card that is provided as security without the Company’s prior written consent. Company reserves the right to collect any and all monies owed by Client to Company for the Program, by any means necessary within the parameters of the law. The Client shall pay for any fees associated with recouping payment, including but not limited to, collections fees and attorneys’ fees. In the event of a chargeback, Company reserves the right to report the incident to credit reporting agencies as a delinquent account. 
(f) Late Fees - Company understands that, from time to time, there are issues with payment. All payments must be received by Company within five (5) days of the due date for that installment. Any payments not received within 5 days of their due date shall be subject to a late fee of $50.00 USD. Any payments not received within 10 days of their due date shall result in Customers breach of these terms and may result in removal of access to the Program. Client shall still remain responsible to make all payments due and owing under this Agreement to Company in the event Client’s access to the Program is revoked.
REFUND POLICY
All sales are final for this course. Due to the inherent nature of educational programs and the electronic transmission of the same, there are no refunds.
NON-DISCLOSURE, CONFIDENTIALITY & NON-DISPARAGEMENT 
Confidential Information & Non-Disclosure - Company takes pride in its proprietary information included in each Product. As such, Customer agrees and acknowledges all Confidential Information shared through this Product and by the Coach is confidential, proprietary, and belongs exclusively to the Company.
“Confidential Information” includes, but is not limited to:
Any systems, sequences, processes or steps shared with Customer;
Any information disclosed in association with this Agreement;
Any systems, sequences, processes, or trade secrets in connection with the Product or Company’s business practices.
Testimonials - Company also agrees to protect Customer’s personally identifiable information. However, from time to time, Company may use general statements about Customer’s success for testimonials as part of Company’s marketing strategy. By agreeing to these Terms, Customer agrees to Company sharing Customer’s success stories as testimonials in any matter across any media at the sole discretion of Company.
Non-Disparagement - Client agrees, during and/or after use of Product, to refrain from making any statements, whether oral or in writing, that negatively impact Company’s program, business, services, products, or reputation.
INTELLECTUAL PROPERTY & LIMITED LICENSE
Intellectual Property - This Product and the related content shall be considered intellectual property owned by Company. Other examples of intellectual property owned by Company and within Company’s products include, but are not limited to: trademarks, service marks, layout, logos, business names, course/program/module names, design, text, written copy, certain images, podcast recordings, workbooks, videos, audio files, and all of our paid products (collectively referred to as “Intellectual Property”). 
Limited License - Company grants only a limited, personal, non-exclusive and non-transferable license to Customer to use the Intellectual Property for Customer’s personal and internal business use. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Company to the Client, nor grant any right or license other than those stated in this Agreement. Customer acknowledges that his/her purchase of this Product is for his/her/its single individual use. Customer shall not copy, reproduce, transmit, modify, edit, create derivative works from, alter, sell, or share with others any products or parts of the Program without prior written consent or unless provided otherwise. 
If Customer is also a business owner or professional in a similar industry, Customer shall not misappropriate any of Company’s Intellectual Property and proprietary information in the following manner:
Teaching Customer’s clients/customers/audience any of the information, methods, solutions, or formulae owned by Company and passing it off as Customer’s own;
Copying any of Company’s Product content and/or material for Customer’s commercial use;
Copying, publishing, transmitting, transferring, selling, creating derivative works from, reproducing, or in any way exploiting any of the Intellectual Property owned by Company in either whole or part without prior written consent. 
INDEMNIFICATION / LIMITATION OF LIABILITY
Customer hereby acknowledges that Company is not liable for any injuries that may arise from Customer’s actions, omissions, or decisions based off Customer’s use of this Product including but not limited to: a decision to leave a job, a decision to invest in an opportunity, a decision to start a business, any of Client’s business decisions, any of Client’s financial decisions. Client hereby agrees to indemnify and hold harmless Company of any claims that may arise after use of this Product. 
Access to this Product is currently through a third-party platform, Kajabi Company is not liable for any limitation of access to the Product caused by Kajabi.
MISCELLANEOUS
            Amendments - We reserve the right to amend this Agreement from time to time. Any amendments must be agreed in writing and executed by both parties.
            Headings & Severability - Headings are included for convenience purposes only and shall not affect the construction of this Agreement. If any portion of this Agreement is held to be unenforceable, it shall not affect the remaining portions of the Agreement, which shall remain in full effect. If any portion of this Agreement is held to be unenforceable, then the unenforceable portion shall be construed in compliance with applicable law in a light most favorable to the original intentions of the parties. If the unenforceable portion of the Agreement is found by a competent court of this jurisdiction to be contrary to law, then it shall be changed and interpreted to best reflect the original intentions of the parties, and all other provisions shall remain in full force and effect.
            Entire Agreement - This Agreement reflects the entire agreement between the parties. This Agreement trumps any other existing negotiations, communications or Agreements between the parties, whether written, oral, or electronic, and is the full extent of the Agreement between the parties.
All Rights Reserved - All rights not expressly granted in this Agreement are reserved by us. 
      Governing Law - Company is located in the United States and is subject to the applicable laws governing the United States. The governing law for this agreement is the laws of California.
            Arbitration - Any disputes arising under this Agreement shall first be resolved through a binding arbitration. 
    Maximum Damages - Client agrees and acknowledges that the maximum amount of damages that Client may be entitled to in any claim arising from this Agreement or Program shall not exceed the total cost of the Program.
H. Execution – Customer agrees to accept the above Agreement in its entirety when Customer selects and confirms “I have read and agree to the terms and conditions of this page as follows:” at the Product checkout page and by rendering first payment.

By clicking “Buy Now,” “Complete Order,” or any other phrase on the purchase button, entering your credit card information, or otherwise rendering payment (either in-full or partial) for the product for which these terms appear ("Product," “Masterclass,” and/or “Program”), you (“Client” and/or “Customer”) agree to be provided with products, programs, or services by Beatrice Kamau ("Owner") in her capacity as owner of Bee Wellness, LLC (“Company”), and you are executing a legally binding agreement with the Company, subject to the following terms and conditions: 
INTRODUCTION
Bee Wellness (“Company”) is a company that provides those looking to cultivate authentic self-love with coaching services, online courses, and other educational materials.  Company has created the THE CODEPENDENT’S HOLIDAY GUIDE TO DEALING WITH TOXIC FAMILY MEMBERS ("Masterclass") to educate Customer on techniques and ways to help him or her become more comfortable with setting boundaries with toxic family members.
  TERM & TERMINATION
Term - This Term of this Agreement shall be one year from the date of initial purchase, with the exception of Sections 5 through 11, which shall survive the Term of this Agreement.
Termination - Client dissatisfaction with Company and/or Coach’s subjective teaching style, independent judgment, methods, or other techniques are not valid reasons for termination of this Agreement or request of any monies returned to Client. Even if Client does not complete all portions of the Masterclass, Client is nevertheless responsible for all payments due and owed under this Agreement by making the first payment of the Masterclass at checkout and executing these Terms and Conditions.
DISCLAIMERS

Through the Masterclass, the Company might provide guidance regarding boundary setting, but it is ultimately the responsibility of the Customer (and only the Customer) to make the final decision for his/herself. By using Company’s services and purchasing this Masterclass, Client accepts any and all risks, foreseeable or unforeseeable, arising from such a transaction. Client agrees that Company will not be held liable for any damages of any kind resulting or arising from the use or misuse of the Masterclass. Client agrees that use of this Masterclass is at user’s own risk.
Client hereby acknowledges that mindset coaching is a subjective service and Company’s methods to provide this service may change in terms of style and/or technique. Company and/or Coach may use its personal judgment to provide the Masterclass services to Client, even if these methods do not follow strict adherence to Client’s suggestions. 
This Masterclass does not include: 1) individualized advice and feedback; 2) procuring business or potential clients for Customer 3) therapy sessions in the form of psychotherapy, psychoanalysis, or behavioral therapy 4.) 1:1 coaching services
Customer hereby acknowledges that Customer is solely responsible for the amount and type of income that Customer generates by implementing techniques and advice provided by Course. Customer also acknowledges that the Company cannot and does not guarantee that implementation of the Course will provide Customer with comprehensive boundary setting skills. Customer also agrees that he/she is solely responsible for any decision Customer makes and indemnifies Company from any liability regarding said decision.  
MASTERCLASS SPECIFICS
The Masterclass includes one 31 minute video and a PDF version of the slides reviewed within the video.  
Company reserves the right to substitute services equal to or comparable to the value of Masterclass if reasonably required by the prevailing circumstances as determined exclusively by Company. 
This Masterclass may be distributed by Company either directly or through a third-party platform. Nevertheless, Customer acknowledges that he/she can optimize her potential results from the Masterclass by adhering to the following:  
Completing the entire Masterclass video and reviewing more than once if necessary to help fully learn and incorporate new techniques
Reviewing the PDF slides as a reference 
Taking 100% responsibility for Customer’s results, 100% of the time.
